These Terms of Service (“Terms”) govern your access to and use of Videoror (the “Service”), operated by [Tunumi] (“Videoror,” “we,” “us,” or “our”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
Videoror is an ad-free, privacy-respecting video platform. We do not sell your personal data and we do not run third-party advertising.
Acceptance of these Terms
By using the Service you confirm that you can form a binding contract with us and that you accept these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.
We may update these Terms from time to time (see Changes to these Terms). Your continued use of the Service after changes take effect means you accept the revised Terms.
Eligibility and accounts
Minimum age. You must be at least 13 years old (or older where a higher minimum age applies in your jurisdiction) to use the Service. The Service is not directed to children under that age.
Registration is invite-only. Accounts can be created only with a valid invitation. Invitations are personal, may expire, and may be revoked before they are used. You may not sell, transfer, or publicly distribute an invitation.
Account security. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at our contact page if you suspect unauthorized use. We are not liable for losses arising from your failure to safeguard your account.
One channel per account. Each account may operate a single channel. You must provide accurate account information and keep it current. You may delete your account at any time from your account settings.
Invitations
Because registration is invite-only, access to create an account is limited and at our discretion. We may limit, suspend, or discontinue the invitation system at any time. Receiving or holding an invitation does not entitle you to a guaranteed account or to any particular features.
Memberships, billing, and payments
Free tier. A free account lets you browse and watch content subject to limits we may set from time to time, which currently include a monthly watch-time allowance and a maximum streaming resolution. These limits are described in the Service and may change.
Paid memberships. A paid membership (“Membership”) unlocks additional features, such as unlimited watching and higher streaming quality, and helps fund the creators you watch. Membership prices, billing intervals, and included benefits are shown at the point of purchase.
Payment processing. Payments are handled by our third-party payment processor (currently Stripe). We do not store your full payment card details. Your use of payment features is also subject to the processor’s terms and privacy policy.
Auto-renewal. Memberships renew automatically at the end of each billing period at the then-current price, unless you cancel before the renewal date. By purchasing a Membership you authorize us and our payment processor to charge your payment method on a recurring basis until you cancel.
Cancellation. You may cancel a Membership at any time from your membership settings. Cancellation stops future renewals; unless stated otherwise, you retain member benefits until the end of the current paid period.
Refunds. Except where required by applicable law, payments are non-refundable and there are no refunds or credits for partial periods.
Price changes. We may change prices or the features included in a plan. Material changes to your Membership price will apply from your next billing period, and we will give you notice and the opportunity to cancel where required by law.
Taxes. Prices may exclude taxes. You are responsible for any applicable taxes, which may be added at checkout.
Your content
Ownership. You retain ownership of the videos, thumbnails, captions, comments, channel information, and other content you submit to the Service (“Your Content”). These Terms do not transfer ownership of Your Content to us.
License to operate the Service. You grant us a worldwide, non-exclusive, royalty-free, sub-licensable license to host, store, reproduce, transcode, encrypt, adapt (for example, to create streaming renditions, posters, and preview images), publish, publicly perform, publicly display, and distribute Your Content, solely as needed to operate, provide, secure, promote, and improve the Service. This license lasts while Your Content is on the Service and for a reasonable period afterward to complete removal from backups and caches.
Your responsibility. You are solely responsible for Your Content and the consequences of publishing it. You represent and warrant that you own or have all rights necessary to submit Your Content and grant the license above, and that Your Content and our permitted use of it do not violate any law or infringe or misappropriate any third party’s rights.
Removal. You may delete Your Content at any time. We may retain copies as required by law or for legitimate operational purposes, and residual copies may persist briefly in backups and caches.
Acceptable use
You agree not to, and not to help or permit anyone else to:
- Post or transmit content that is illegal, infringing, defamatory, harassing, hateful, sexually exploitative of minors, or that violates the rights or privacy of others;
- Impersonate any person or entity, or misrepresent your affiliation, including by misusing a verified-channel badge;
- Upload malware or content designed to disrupt, damage, or gain unauthorized access to any system or data;
- Spam, post misleading or deceptive content, or manipulate engagement metrics, views, watch time, reactions, or comments (including through bots, scripts, or automated means);
- Circumvent, disable, or interfere with security or access-control features of the Service, including the encryption of video content, membership entitlements, or streaming-quality tiers;
- Scrape, crawl, harvest, or bulk-download content or data except as expressly permitted by us in writing;
- Attempt to access accounts, content, or areas of the Service you are not authorized to access, or probe or test the vulnerability of the Service without authorization;
- Use the Service to violate any applicable law or regulation, or in a way that imposes an unreasonable load on our infrastructure.
We may investigate and take action we consider appropriate, including the measures described in Content moderation and enforcement.
Creators and monetization
If you publish content, you are a “creator.” Creators are responsible for holding all rights needed to publish and monetize Their Content and for complying with these Terms.
We intend to share a portion of membership revenue with creators through a creator pool, allocated based on how members engage with content (for example, watch time attributed to the creators each member actually watches). Monetization features, eligibility requirements, payout methods, minimum thresholds, timing, and additional creator or payout terms are offered as available and may not be active yet. We may add, change, condition, or discontinue monetization features at any time, and participation may require accepting supplemental terms and providing tax and payout information. Nothing in these Terms guarantees any payment or earnings.
We may withhold or reverse amounts associated with fraud, abuse, artificially inflated engagement, chargebacks, or violations of these Terms.
Copyright and DMCA
We respect intellectual property rights and expect you to do the same. If you believe content on the Service infringes your copyright, send a notice to our designated agent at copyright@videoror.com (or via our contact page) including:
- Your physical or electronic signature;
- Identification of the copyrighted work claimed to be infringed;
- Identification of the material claimed to be infringing and information reasonably sufficient to locate it (for example, the video URL);
- Your contact information (address, telephone number, email);
- A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act on the owner’s behalf.
Counter-notice. If your content was removed and you believe it was removed in error or misidentification, you may submit a counter-notice with the information required by applicable law.
Repeat infringers. We terminate, in appropriate circumstances, the accounts of users who are repeat infringers.
Content moderation and enforcement
The Service includes tools for users to report content (for example, as spam, harassment, inappropriate content, or copyright infringement) and for channel owners to moderate comments (including blocked-word filters). We may, but are not obligated to, review reported content.
We may remove or restrict content, apply or remove a verified-channel badge, limit features, hide content from public view, and suspend or deactivate accounts that violate these Terms or that we reasonably believe create risk or legal exposure for us, other users, or third parties. Where practical and lawful, we aim to act proportionately, but we may act without prior notice when we consider it necessary.
Our intellectual property
The Service itself — including its software, design, text, graphics, logos, and the “Videoror” name and marks — is owned by us or our licensors and is protected by intellectual-property laws. Except for Your Content and rights expressly granted to you, we reserve all rights. You may not copy, modify, distribute, or create derivative works of the Service, or use our name or marks, without our prior written permission.
Third-party services
The Service relies on third-party providers to function, which may include payment processing, transactional email delivery, object storage and content-delivery networks, and self-hosted privacy-respecting analytics. Your use of the Service may be subject to those providers’ terms where applicable. We are not responsible for third-party services or for content or sites linked from the Service.
Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that content will be accurate, reliable, or available. To the fullest extent permitted by law, we disclaim all such warranties. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.
Limitation of liability
To the fullest extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your use of (or inability to use) the Service.
To the fullest extent permitted by law, our total liability for all claims relating to the Service is limited to the greater of USD $100 or the amounts you paid us for the Service in the 12 months before the event giving rise to the liability. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
Indemnification
You agree to indemnify and hold harmless Videoror and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Service, or your violation of these Terms or of any law or third-party rights.
Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms, if required by law, or to protect the Service or its users. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
Changes to these Terms
We may modify these Terms from time to time. When we make material changes, we will update the “Effective date” above and, where appropriate, provide additional notice. Changes are effective when posted unless stated otherwise. If you do not agree to the revised Terms, you must stop using the Service.
Governing law and disputes
These Terms are governed by the laws of Massachusetts, USA, without regard to its conflict-of-laws rules. You agree that the courts located in Massachusetts, USA will have exclusive jurisdiction over any disputes, except where prohibited by applicable law.
